Acceptance of Terms
By accessing or using the Fintel Discovery MCP server, website, or any associated services (collectively, "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must immediately cease all use of the Service.
Section 2
Permitted Use — Personal, Non-Commercial Only
The Service is made available solely for personal, non-commercial use. No business, commercial, institutional, or organizational use is permitted without prior explicit written authorization from Fintel Discovery.
Section 3
Prohibited Uses
The following are expressly prohibited:
3.1 Automated Scraping & Bulk Harvesting
You may not use bots, crawlers, scripts, automated agents, or any programmatic means to systematically extract, harvest, copy, or store data from the Service in bulk. Each query must represent a genuine individual user need.
3.2 Commercial Use & Redistribution
You may not use data retrieved from the Service for any commercial purpose, including but not limited to: reselling data, licensing derivative datasets, embedding data in commercial products, or providing paid services based on retrieved data.
3.3 Competition with Data Vendors
You may not use the Service as a substitute for, or in competition with, commercial financial data vendors, data aggregators, or regulatory data services.
3.4 Financial or Investment Advice
You may not use data retrieved from the Service as the basis for providing financial advice, investment advice, securities recommendations, or any regulated advisory services to any third party.
3.5 Regulatory Violations
You may not use the Service in any manner that violates the terms of use of FINRA BrokerCheck, SEC IAPD, SEC EDGAR, or any other underlying data source. You acknowledge that these sources have their own terms governing data use.
3.6 Infrastructure Attacks & Reverse Engineering
You may not probe, scan, attack, reverse engineer, decompile, or attempt to derive the source code or architecture of the Service. Denial-of-service attacks, credential stuffing, and infrastructure probing are prohibited.
3.7 Abusive Query Patterns
You may not submit queries at rates or volumes that degrade service availability for other users. Rate limits may be imposed at Fintel Discovery's sole discretion without notice.
3.8 Business Entity Use
You may not use the Service on behalf of, or for the benefit of, any corporation, LLC, partnership, trust, or other legal entity without explicit written permission.
3.9 Derivative Datasets
You may not compile, aggregate, or structure data retrieved from the Service into a new dataset, database, or data product for any purpose.
3.10 Unauthorized Automated Agents
You may not deploy persistent AI agents, scheduled jobs, or automated pipelines that query the Service without a human actively initiating each session.

Indemnification
You agree to indemnify, defend, and hold harmless Fintel Discovery and its operators from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights or applicable law.

Intellectual Property
All content, code, design, and documentation comprising the Service (excluding third-party data from FINRA, SEC, and other government sources) is the intellectual property of Fintel Discovery. No license to use, copy, modify, or distribute such intellectual property is granted by these Terms.
Section 8
Third-Party Data Sources
The Service aggregates data from public government APIs including FINRA BrokerCheck, SEC IAPD, and SEC EDGAR. Fintel Discovery is not affiliated with, endorsed by, or sponsored by FINRA, the SEC, or any government agency. Use of such data is subject to the respective terms of those agencies.

Service Availability & Termination
9.1
Fintel Discovery reserves the right to suspend, restrict, or permanently terminate access to the Service for any user at any time, for any reason or no reason, without notice or liability.
9.2
The Service may be taken offline, modified, or discontinued at any time without notice.
Section 10
Modifications to Terms
Fintel Discovery may update these Terms at any time. The updated Terms will be posted at https://fin-discovery.com/terms.html with a revised effective date. Continued use of the Service after any modification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
Section 11
Governing Law & Dispute Resolution
11.1
These Terms are governed exclusively by the laws of the State of California, without regard to its conflict of law provisions.
11.2
Any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Sonoma County, California. You consent to personal jurisdiction in such courts.

Section 12
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Section 13
Entire Agreement
These Terms constitute the entire agreement between you and Fintel Discovery regarding the Service and supersede all prior agreements, representations, and understandings.
